ARTICLE 1. MEMBERSHIP
SECTION 1 Application for regular membership or associate membership
accompanied by the first year�s dues and renewals must be submitted to the Membership Secretary at a meeting, car shows, or by mail.
SECTION 2 There shall be the following classifications of memberships:
A Regular Member (Adult 18 years or older)
B Family Member (Adult Couple one address)
C Independent Associate Member (Child age 6 thru 17
Without an Adult)
D Associate Family Member (Child with Adult member
Age 4 thru 17. Son or Daughter of adult member)
E Honorary Member (article 1 section 3) is a person
performing noteworthy services to the advance of auto
racing or the interest of auto racing.
F Senior Citizen 55 years or older
G Lifetime member (is a person over the age of 75 belonging to the
Club for at least (1) year as a paying member.
SECTION 3 Honorary membership may be considered on the petition of
three (3) regular members in good standing and shall require
a two-thirds vote of the regular membership present or responding
to a mail ballot or by a unanimous vote of the Board of Directors.
EXCEPTION. All promoters who give TSARC a �Club Night�
will be given an Honorary Membership.
SECTION 4 As evidence of regular and associate membership, each new accepted
regular and or associate member shall be provided with a dated
membership card and club patch.
SECTION 5 As Evidence of Honorary Membership each new Honorary member
shall receive a club patch and a dated membership card, renewable each
year with the approval of the membership.
SECTION 6 Associate and Honorary members shall be entitled to all rights and
privileges of a full member with the exceptions of:
(1) voting in Director�s elections and
(2) holding office
Associate and Honorary members may serve on committees by
appointment. Associate and Honorary members shall have the privilege
of voting for club awards.
ARTICLE 2 DUES
SECTION 1
A Regular (independent) Adult $18.00 per annum
B Family Membership (Adult Couple) $23.00 per annum
C Independent associate member $8.00 per annum
(Children without an adult 6 thru 17)
D Associate Family (Children 6 thru 17) $5.00 per annum
` Maximum of (2) Children remaining are free
E Honorary Free
F Senior Citizen (Single) 55 or older $10.00
Senior Citizen (Couple) one is 55 or older $13.00
G Lifetime member is anyone over 75 and pays at least one year is Free
ARTICLE 3 MEETINGS
SECTION 1 Meetings of this organization shall be held regularly on the third
Tuesday of each month. Time and place shall be determined by the
membership.
SECTION 2 The Board of Directors shall meet as necessary at the convenience
of the majority of those members who will be attending.
SECTION 3 All meetings of the organization shall be conducted in accordance with
such rules of Parliamentary Procedures as this organization shall adopt.
A: Roberts Rules of Order Simplified & Applied Second Edition will
be our Parliamentary Procedures.
SECTION 4 The order of business at all meetings of this organization shall be as

B Reading of the Minutes from previous meeting.
C Treasurer�s Report.
D Membership Secretary report.
E Reports from standing committees.
F Reports from Special Committees.
G Unfinished Business
H New Business
I Correspondence.
J Adjournment.

An attendance sheet shall be signed by all those present.
SECTION 5 QUORUM: The presence of ten (10) regular members and three (3)
Officers attending any regular or special meeting shall constitute a
quorum for the purpose of transacting business. Ten (10) regular members
and three(3) officers responding to a mail ballot shall constitute a quorum
for the purpose of transacting business.
ARTICLE 4 ELECTIONS
SECTION 1 Officers and Board members, as provided for by the Constitution,
shall assume office January 1st serving for a term of one (1) year.
SECTION 2 Only regular members belonging to the club (6) six months or longer prior to Election shall be eligible to hold the position of an elected office.

SECTION 3 Only regular members in good standing shall be permitted to vote
in the annual election, or any other meeting of the organization.
SECTION 4 A vacancy occurring in any office, except the Presidency, shall be
filled from the regular membership, by appointment, from the Board
of Directors, for the unexpired term.
SECTION 5 In the event of a vacancy to the office of President, the elected Vice
President shall succeed to the position of President, and the Board of
Directors shall then appoint a Vice President, from the regular membership,
for the unexpired term.
ARTICLE 5 OFFICERS
SECTION 1 PRESIDENT: (Chief Executive Officer) shall preside over all meetings, act
as Chairman of the Board of Directors, and perform all duties consistent
with the office. He shall appoint all Standing and Special Committees as
deemed necessary during his term in office pending approval by the Board of Directors.
VICE PRESIDENT: shall perform the duties of the President in his absence.
RECORDING SECRETARY: shall keep a record of all regular and special
meetings , act as Recording Secretary to the Board of Directors, shall be
custodian of the permanent records of this organization, and maintain such
correspondence as this organization shall require
TREASURER: shall have custody of all monies of the organization,
maintain a bank account in the name of the organization, keep accurate
Book account records of all receipts, expenditures, and render a report at
all regular monthly meetings. .Treasurer shall be authorized to make
payment of legitimate debts of the organization up to the amount of $50.00
and to pay all newsletter expenses and all recurring expenses of all club
functions without prior approval of the membership.

MEMBERSHIP SECRETARY: shall keep a roll of all members with
addresses, provide application blanks to all interested persons and
announce names of new members at each regular monthly meeting.
Shall submit updated membership list in January, April, July, October
to Officers, Board of Directors and Sunshine committee.
ARTICLE 6 BOARD OF DIRECTORS
SECTION 1 Board of Directors shall consist of all Officers and Six (6) Directors
elected by the membership, as provided by the Constitution.
SECTION 2 Duties of the Board of Directors shall be to consider, promote, and
transact the business of the organization subject to the instructions of
the members as expressed by a vote at a regular or special meeting.
SECTION 3 Any member of the Board of Directors who misses three (3)
meetings during a year shall be removed from office. Legitimate excuses
are acceptable.
SECTION 4 The position of Historian is appointed each year by the Board of
Directors. The duties of historian are to update and maintain all archives.
ARTICLE 7 COMMITTEES
SECTION 1 Committee Chairpersons shall be appointed by the President of the
organization.
SECTION 2 Standing Committees, after appointment by the President, shall be
ratified by the membership at a regular or special business meeting.

SECTION 3 Car Show standing committee shall serve a (1) one Year term beginning
at the April Meeting.
SECTION 4 Special committee chairpersons shall be appointed by the President, as
necessary. Their appointment shall require ratification by the Board of
Directors.
ARTICLE 8 AWARDS
SECTION1 Club Night Awards at all various tracks, shall be given to the feature
winners from all divisions
SECTION 2 Awards Banquet (Winter Bash Awards) shall consist of the following
awards:
A Twin-State Sportsmanship award.
B Bud Crum Memorial Good Guy
C Russ King Memorial Owner of the year
D Rookie of the Year (1 each in dirt and asphalt)
E Hard Luck (1 each in dirt and asphalt)
F Most Improved (1 each in dirt and asphalt)
G Jerry Hassay Memorial Dedication Award
(A person or group that currently shows outstanding dedication
or support to Twin-State Auto Racing Club)
SECTION 3 All said awards mentioned in section 2 shall be voted on by secret
ballot. All regular, associate, and honorary members in good standing
shall be eligible to vote. All Ties are winners.
SECTION 4 A special committee can be formed to revise the procedures for the voting
of these awards.
ARTICLE 9 AMENDMENT
SECTION 1 Any amendments to these By-Laws may be proposed at any regular or
special meeting, and may be adopted by a majority vote at the following
regular or special meeting, provided that the proposed amendment
received a favorable vote from the Board of Directors
ARTICLE 10 DISSOLUTION
SECTION 1 Dissolution of this organization at any time shall require a favorable vote
of seventy-five (75) percent of the total membership in good standing, This
is to be done by a mail ballot.
SECTION 2 In the event of dissolution, the members may elect to sell any and all
properties owned by the organization at a public auction. After all debts are
cleared, any proceeds remaining may be divided equally among all
members in good standing at the time of the dissolution.
SECTION 3 Any article or monies donated to the organization by any member, person or
Persons shall become the property of the organization and cannot be
reclaimed by any one member or by the donor.
